How to order an organization's seal and where to make a seal?

The organization's seal has a dual meaning - it is a tool that allows to confirm the authenticity of the document, and an impression that is obtained from this tool.

The consolidation of contracts, confirmation of the authenticity of letters, documents, seal remained to us in the form of traditions, originating from the most ancient civilizations - Sumerian, Egyptian, ancient Indian, etc. The first seals are hallmarks on animals and people. These stamps were placed on the skin with special devices, often red-hot. With the development of public relations, methods of confirming property also developed. Sometimes the relationship between states and / or people (princes, merchants) was cemented by written contracts that were certified by a personal seal of a person or a seal of the state.

The purpose of printing in our time is to confirm the authenticity of documents. The impression is placed on the front side of the sheet of the document. If there are several sheets in the document, then the seal is usually placed on the last sheet or on the first one. Sometimes the document in transit for the preservation of his text from disclosure and damage is folded into the tube. Then the seal is put on wax or sealing wax, which closes the knot of the cord that connects the tube. Seals sealed letters and parcels to protect them from autopsy. The envelope into which the letter was placed was closed, melted wax or sealing wax dripped onto the area of the envelope junction, after which a seal was applied and waited for solidification.

Now the seal as a tool is made of metal, rubber, plastic. Previously, prints were cut out of soft stone (soap, jade), ivory, metal (lead, tin, copper), wood, etc. A seal placed on a ring is called a signet.

In the Civil Code (CC) of Russia in section 4 there is no mention of the existence of the seal of the organization as a prerequisite for the activities of the Jur. Face. But its necessity is determined by other laws of the Russian Federation. For example, Art. 2 of Law No. 14-FZ of 1988 "On Limited Liability Companies" determines the type and mandatory requisites of the press.

The organization's seal should be circular and contain:

- the full name of the organization, its legal form (OJSC, DAO, LLC, PE, etc.) in Russian;

- the location of the organization (region, district, city) as defined in the Charter;

- registration number of the organization in the state register;

- the registration number of the seal in the regional register of seals.

These details are mandatory for all business entities.

In addition, the organization's seal may contain a company name in any language, an emblem and / or a trademark registered in accordance with the established procedure.

To order an organization's seal, you should prepare the originals of such documents:

- document on state registration;

- document on registration;

- the decision of the organization for printing;

- the order on appointment of the head:

- Passport of the head (photocopy);

- Articles of association;

- power of attorney to the representative of the organization to carry out the approval of the print sketch.

The organization may have a second seal, which differs from the first by the presence of the digit "1".

If you lose or damage the main print, you can make a duplicate, in accordance with the established procedure, on which the letter "D" should stand.
