Company registration: documents for opening LLC

The form of ownership of an LLC is an economic structure that can be established by one or more entities. At the same time, the authorized capital of the company being formed is divided into parts, the sizes of which are indicated in the constituent documents. Members of this structure are not liable for obligations, and the risk of losses of the company is within the limits of the amount of their contributions.

What documents are needed for the opening of LLC

The legal status of this organization, the procedure for its creation, liquidation and reorganization is defined in the Civil Code and in the federal law on LLC.

In order to register a structure, the documents for the opening of the LLC must contain its name (name), address, information about the founders and the formed authorized capital. The company must have a full name, it can also have a company abbreviated name in Russian.

The place where the company will be located is determined by the territory of registration of the future firm. As the place of its location in the constituent documents, the address of the main place of business or location of the company's management bodies may be recorded. In practice, there are many problems associated with the confirmation of the location of the LLC. For example, an agreement on the lease of non-residential premises can confirm the address. However, the company being established at the registration stage may not even have a preliminary lease agreement and do not represent its future address.

In this case, there are several outputs. You can purchase (temporarily) a legal address or provide for registration the home address of any founder (individual). The latter option is only permissible for small businesses.

Documents for the opening of the LLC must include information on the structure and amount of the authorized capital. Its size is set at least 100 times the minimum wage for employees. At the time of registration, the founders must contribute more than half of the authorized capital. Each member of the LLC contributes during the period specified in the constituent agreement, which should not be more than one year from the time of state registration. For the deposit can be taken money, securities, as well as having a monetary value of the property or rights.

When registering, the following documents are needed to create the LLC: firstly, it is the company's charter, and secondly, a protocol on the establishment of the LLC, as well as copies of the passports of individuals who act as founders. If the founder is a legal entity, then information about him (name, OKPO, TIN, OGRN, location) will be required. Also, for the registration of a company, it is necessary to develop the name of the company, provide information about the activities of the company, the manner of formation and the amount of the authorized capital.

After all the documents for opening the LLC have been collected, you should open a savings account and put on it half of the declared amount of money in the authorized capital. This may take 1-2 days.

After that, documents for the opening of the LLC must be submitted to the body that registers legal entities. This procedure will take 6 working days. After the implementation of these actions, the company is considered registered and is assigned to it OGRN and TIN. After the decision on registration has been taken, the information on the new legal entity is forwarded to the territorial bodies of the Social Insurance Board, the Pension Fund and the compulsory health insurance fund within five days.

Within 24 hours after registration, a seal is produced, which the director and other approved officials of the new LLC, who have the right to sign financial documents, notarially certify their signatures on bank cards. At the final stage of registration, a settlement account is established in the bank within two days.
